1. Agreement to terms

By accessing or using the website at tedzintegrativesystems.com (the "Site") or any services provided by TEDZ Integrative Systems LLC ("TEDZ," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site or our services. These Terms constitute a legally binding agreement between you and TEDZ.

2. Description of services

TEDZ provides a Revenue Operations Partnership for local service businesses. Our services include AI employee deployment (Jordan), lead capture and follow-up automation, voice call handling, SMS auto-reply, online booking integration, monthly performance reviews, Revenue Operations recommendations, and related client success services ("Services").

The specific features and scope of Services provided to each client are defined in the individual service agreement or statement of work provided to that client. TEDZ reserves the right to modify, enhance, or discontinue any feature of the platform with reasonable notice.

3. AI employee disclosure

Our website and phone line feature an AI employee named Jordan. Jordan is not a human being. Jordan is software designed to answer questions, collect contact information, handle inquiries, and facilitate scheduling. While Jordan is designed to provide accurate and helpful responses based on its configured knowledge, Jordan may occasionally produce incomplete or imperfect information.

Calls to our demo line may be recorded for quality assurance and training purposes. A verbal recording disclosure is given at the start of every call. 4. SMS messaging terms

By providing your phone number, you agree to receive SMS messages from TEDZ Integrative Systems LLC regarding your inquiry, appointment requests, scheduling, and customer service communications. 5. Client responsibilities

As a client of TEDZ, you agree to provide accurate and complete information necessary for us to deliver the Services, including your business name, logo, service offerings, service area, and contact information. You are responsible for reviewing and approving content published on your behalf.

You retain ownership of your domain name and any original content you provide to us. You agree not to use our Services for any unlawful purpose or in violation of applicable federal, state, or local laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

6. Intellectual property

All content, design, code, graphics, and other materials created by TEDZ as part of our Services ("TEDZ Materials") remain the intellectual property of TEDZ unless otherwise specified in a written agreement. Clients are granted a non-exclusive, non-transferable license to use TEDZ Materials for the duration of their active service agreement.

Your business name, logo, and original content that you provide to us remain your property. The TEDZ name, logo, and branding are trademarks of TEDZ Integrative Systems LLC and may not be used without our prior written consent.

7. Payment and billing

Pricing is specified in your individual service agreement. Payment terms, billing frequency, and accepted payment methods are outlined in that agreement. Services may be suspended or terminated for non-payment after reasonable notice.

Founding Partner clients receive rate protection for the period specified in their service agreement. TEDZ reserves the right to modify pricing for new service agreements or renewals with 30 days written notice. Third-party costs such as phone number fees and per-message rates are billed separately and at cost.

8. Service availability

While we strive to maintain continuous availability of all websites and services we manage, TEDZ does not guarantee 100% uptime. Scheduled maintenance, third-party service outages, and events beyond our control may result in temporary service interruptions. We will make reasonable efforts to notify clients of planned maintenance in advance.

9. No guarantee of results

TEDZ provides tools and services designed to help local service businesses capture leads, book appointments, and grow their operations. We do not guarantee specific results, including but not limited to a specific number of leads, calls, bookings, revenue increases, or search engine rankings. Results vary based on numerous factors including your industry, location, competition, and how you and your team respond to leads generated by our systems.

10. Limitation of liability

To the maximum extent permitted by applicable law, TEDZ and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or Services, regardless of the theory of liability.

In no event shall our total liability to you exceed the total amount paid by you to TEDZ in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless TEDZ and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate the service relationship in accordance with the terms outlined in the individual service agreement. Upon termination, TEDZ will make reasonable efforts to assist with the transition of your domain and content, subject to any outstanding balances. TEDZ reserves the right to terminate or suspend access to our Site or Services for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

13. Healthcare and HIPAA

TEDZ is not a covered entity or business associate under HIPAA by default. Our platform is not designed or certified as a HIPAA-compliant environment. If your business is a covered entity or business associate, you must execute a Business Associate Agreement (BAA) with TEDZ before using our Services for any purpose involving protected health information (PHI).

You are responsible for ensuring that your use of our Services complies with all applicable healthcare privacy regulations. Do not transmit, store, or route PHI through Jordan, our SMS systems, or our platform without a signed BAA in place. Contact [email protected] to inquire about BAA execution.

14. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and the parties hereby consent to the personal jurisdiction and venue of such courts.

In the event of any dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Dallas County, Texas. The arbitrator's decision shall be final and binding.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Changes to these terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this page. Your continued use of our Site or Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
