1. Agreement to terms

TEDZ provides done-for-you website development, lead capture systems, virtual chat assistants, call answering, SMS auto-reply, online booking integration, search engine optimization, and related digital services for local service businesses ("Services"). The specific features and scope of Services provided to each client are defined in the individual service agreement or quote provided to that client.

3. Virtual assistant disclosure

Our website features a virtual chat assistant named Jordan. Jordan is not a human being. Jordan is software designed to answer questions, collect contact information, and facilitate scheduling. While Jordan is designed to provide accurate and helpful responses based on the information it has been trained on, Jordan may occasionally provide incomplete or imperfect information. TEDZ is not liable for any decisions made based solely on interactions with Jordan. 4. Client responsibilities

As a client of TEDZ, you agree to provide accurate and complete information necessary for us to deliver the Services, including but not limited to your business name, logo, service offerings, service area, and contact information. You are responsible for reviewing and approving all content published on your behalf. You retain ownership of your domain name and any original content you provide to us. You agree not to use our Services for any unlawful purpose or in violation of any applicable federal, state, or local laws.

5. Intellectual property

All content, design, code, graphics, and other materials created by TEDZ as part of our Services ("TEDZ Materials") remain the intellectual property of TEDZ unless otherwise specified in a written agreement. Clients are granted a non-exclusive, non-transferable license to use TEDZ Materials for the duration of their active service agreement. Your business name, logo, and original content that you provide to us remain your property. The TEDZ name, logo, and branding are trademarks of TEDZ Integrative Systems LLC and may not be used without our prior written consent.

6. Payment and billing

All pricing is custom-quoted based on your business size and needs. Payment terms, billing frequency, and accepted payment methods will be outlined in your individual service agreement or quote. Services may be suspended or terminated for non-payment. TEDZ reserves the right to modify pricing with 30 days written notice.

7. Service availability and uptime

While we strive to maintain continuous availability of all websites and services we manage, TEDZ does not guarantee 100% uptime. Scheduled maintenance, third-party service outages, and events beyond our control may result in temporary service interruptions. We will make reasonable efforts to notify clients of planned maintenance in advance.

8. No guarantee of results

TEDZ provides tools and services designed to help local service businesses capture leads, book appointments, and grow their online presence. However, we do not guarantee specific results, including but not limited to a specific number of leads, calls, bookings, revenue increases, or search engine rankings. Results vary based on numerous factors including your industry, location, competition, and how you respond to leads generated by our systems.

9. Limitation of liability

To the maximum extent permitted by applicable law, TEDZ and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or Services, regardless of the theory of liability. In no event shall our total liability to you exceed the total amount paid by you to TEDZ in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TEDZ and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate the service relationship at any time in accordance with the terms outlined in the individual service agreement. TEDZ does not require long-term contracts unless otherwise specified. Upon termination, TEDZ will make reasonable efforts to assist with the transition of your domain and content, subject to any outstanding balances. TEDZ reserves the right to terminate or suspend access to our Site or Services at any time for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

12. HIPAA compliance

TEDZ is not HIPAA-compliant and does not collect, store, or process protected health information (PHI). Our Services are not intended for use in healthcare settings where HIPAA compliance is required. If your business handles PHI, you are responsible for ensuring that your use of TEDZ Services does not involve the transmission or storage of protected health information through our platform.

13. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Texas, and the parties hereby consent to the personal jurisdiction and venue of such courts.

14. Dispute resolution

In the event of any dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration taking place in the State of Texas. The arbitrator's decision shall be final and binding.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
